1. Service Description
AI Model Marketplace ("ModelRoute", "we", "us") provides a unified API platform for accessing AI models from multiple providers. Our service allows you to route requests to AI models from OpenAI, Anthropic, and other providers through a single API endpoint, with cost tracking, usage analytics, and smart routing capabilities.
2. Account Terms
- You must provide accurate and complete information during registration.
- Each account is associated with an organization. The registering user becomes the organization owner.
- You are responsible for maintaining the security of your account credentials and API keys.
- You must notify us immediately of any unauthorized use of your account.
- Organization owners may invite additional members and assign roles (Admin, Member).
- You must be at least 18 years old or the age of legal majority in your jurisdiction to use this service.
3. Acceptable Use Policy
You agree not to:
- Use the service for any unlawful purpose or in violation of any applicable laws.
- Attempt to circumvent rate limits, authentication controls, or other security measures.
- Share API keys publicly or embed them in client-side code.
- Use the service to generate content that violates the acceptable use policies of the underlying AI model providers.
- Reverse engineer, decompile, or attempt to extract the source code of our service.
- Interfere with or disrupt the integrity or performance of the service.
- Resell access to the service without our written consent.
4. Payment Terms
- The service operates on a prepaid balance model. You must maintain a positive balance to make API requests.
- Balances are scoped to organizations, not individual users.
- You may optionally enable auto top-up to automatically replenish your balance when it falls below a configured threshold.
- All payments are processed through Stripe. By using our billing features, you also agree to Stripe's terms of service.
- Usage charges are calculated based on the AI provider's pricing for the model and tokens consumed, plus our platform fee.
- Refunds may be issued at our discretion for service outages or billing errors. Refunds for unused balance may be requested by contacting support.
- We reserve the right to change pricing with 30 days notice. Continued use after the notice period constitutes acceptance.
5. API Usage Terms
- API requests are subject to rate limits. Rate limits vary by plan and may be adjusted to ensure fair use across all customers.
- We do not store the content of your prompts or completions beyond what is required for request routing and delivery. Content is forwarded to the selected AI provider.
- You are responsible for compliance with the terms of service of the underlying AI model providers (OpenAI, Anthropic, etc.) for all content processed through our service.
- We reserve the right to suspend or throttle API access if your usage patterns indicate abuse or risk to service stability.
6. Intellectual Property
The service, including its software, documentation, APIs, and branding, is owned by AI Model Marketplace and protected by intellectual property laws. You retain all rights to your input data and any output generated through the service, subject to the rights of the underlying AI model providers.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI MODEL MARKETPLACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Termination
- You may terminate your account at any time by contacting support or using the account settings in the dashboard.
- We may suspend or terminate your account for violations of these terms, non-payment, or at our discretion with 30 days notice.
- Upon termination, your access to the service will cease and your data will be deleted in accordance with our Privacy Policy, subject to legal retention requirements.
- Any remaining balance at the time of termination may be refunded, minus any outstanding charges.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the service shall be resolved in the state or federal courts located in Delaware.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the service after changes constitutes acceptance of the updated terms.
